3. Inquiries, Scoping & Contract Formation

The workflow from initial site inquiry to project execution follows a structured, transparent process:

Non-Binding Inquiries

Submitting a project query, scope estimate, or RFP via artraco.com does not constitute a binding development contract. It serves as a preliminary request for technical evaluation and quotation.

Individual Statements of Work (SOW)

Specific project scopes, milestones, delivery timelines, pricing models (Fixed-Price or Time & Materials), and acceptance criteria are formally established in separate, bilaterally signed Statements of Work or Service Agreements.

Precedence

In the event of any conflict between these general terms and an executed individual Statement of Work, the specific terms of the signed Statement of Work shall prevail.

4. Intellectual Property Rights

Intellectual property ownership is strictly governed to protect both Client proprietary assets and Provider engineering toolkits:

Client Deliverables & Custom Code

Upon full and final payment of all corresponding fees, all intellectual property rights, copyright, and title in custom software deliverables created specifically for the Client are transferred to the Client.

Background IP & Reusable Modules

Artraco retains ownership of pre-existing frameworks, generic utility libraries, developer tooling, and algorithmic patterns. Clients receive an irrevocable, perpetual, royalty-free, non-exclusive license to use such background IP embedded within the deliverables.

Open Source Dependencies

Components utilizing open-source libraries (e.g. Next.js, React, Node.js packages) remain subject to their respective open-source licenses (MIT, Apache 2.0, BSD).

5. Client Cooperation & Responsibilities

Successful software delivery requires collaborative execution. The Client agrees to:

Provide timely technical feedback, design approvals, and clarification on requirements during iterative development sprints.

Designate authorized representatives who have decision-making authority regarding project scope and acceptance.

Ensure that all materials, assets, credentials, data, and third-party APIs provided to Artraco do not infringe upon any third-party intellectual property or privacy rights.

Perform user acceptance testing (UAT) within the agreed evaluation timeframe following milestone deployment.

6. Confidentiality & Trade Secrets

Both parties agree to treat all non-public technical, commercial, financial, and operational information exchanged during the engagement as strictly confidential. Confidential information shall not be disclosed to any third party without prior written consent, except to employees, contractors, and legal advisors bound by equivalent confidentiality obligations. This obligation remains in force for a period of 5 years following termination of the engagement or indefinitely for trade secrets.

7. Warranty, Support & Limitation of Liability

We stand behind the engineering excellence of our software solutions:

Defect Warranty (Bug Fixing)

Artraco warrants that deliverables will perform substantially in accordance with agreed specifications. We provide a post-launch warranty period (typically 30–90 days as defined in the SOW) during which reproducible defects will be resolved at no additional charge.

Exclusions

Warranty does not cover defects caused by Client modifications, unauthorized third-party intervention, third-party API deprecations, or operating environments incompatible with documented specifications.

Limitation of Consequential Damages

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, punitive, or consequential damages (including loss of business profits, data loss, or business interruption). Total liability shall be limited to the fees paid under the applicable SOW.

8. Governing Law & Dispute Resolution

These Terms and Conditions and any contractual disputes arising out of or related to our services shall be governed by and construed in accordance with the laws of Hungary, specifically Act V of 2013 on the Hungarian Civil Code (Ptk.), excluding conflict of law rules.

The parties shall endeavor in good faith to resolve any dispute through amicable business negotiation. If resolution cannot be reached within 30 days, disputes shall be submitted to the exclusive jurisdiction of the competent Hungarian courts located in Budapest, Hungary.
